Terms of Service

Agreement

These Terms of Service ("Terms") govern your use of FreightDesk, a service operated by Flightdeck, Inc. ("Company", "we", "us"). By using our website or services, you agree to these Terms. If you do not agree, do not use our services.

Service Description

FreightDesk provides automated detention tracking, claim generation, and follow-up services for trucking carriers. We connect to your ELD and telematics systems to detect detention events, match them against your rate confirmations, and file claims with brokers on your behalf.

We do not guarantee collection of any specific detention claim. Claim outcomes depend on rate confirmation terms, documentation quality, broker responsiveness, and other factors outside our control.

Your Responsibilities

  • Provide accurate rate confirmations and load documentation
  • Maintain valid ELD credentials and authorize our access
  • Ensure you have the legal right to file detention claims for the loads we process
  • Review and approve claim filings before submission (unless you have enabled automatic filing)
  • Pay all fees due under your subscription

Billing and Payment

For detention recovery services, fees are calculated as a percentage of successfully recovered fees. A claim is considered "recovered" when payment is received from the broker. Fees are invoiced monthly for the prior month's recoveries and are due within 30 days of invoice date.

We reserve the right to change pricing with 30 days written notice. Continued use after a price change constitutes acceptance.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We will continue processing any claims already filed through to resolution. Upon cancellation, we retain your data for 12 months per our Privacy Policy, after which it is deleted.

Data and Intellectual Property

You retain ownership of all data you provide (rate confirmations, load documents, ELD data). You grant us a limited license to process this data for the purpose of providing our services.

We may use aggregated, anonymized data (facility dwell times, broker payment patterns, industry benchmarks) to improve our services and products. Aggregated data will not identify you or your company.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from your use of the service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for lost detention revenue, consequential damages, or lost profits.

We provide the service "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in New York, NY. You agree to waive any right to a jury trial or to participate in a class action.

Changes

We may modify these Terms at any time. Material changes will be communicated by email at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
